We refer to the Company’s announcements dated 9 August 2012 with regard to the Winding-Up Petition served on Hexagon Engineering Construction Sdn Bhd (“HEC”), a wholly-owned sub-subsidiary company of the Company, on 8 August 2012 by Central Bolts and Nuts (Kuantan) Sdn Bhd (“Winding-Up Petition”). The Company was informed by its solicitors that the High Court of Malaya (“Court”) had on 2 November 2012 ordered that:- i. HEC be wound up by the Court under the provisions of the Companies Act 1965; ii. the Director General of Insolvency� be appointed as Provisional Liquidator of HEC; and iii. the costs of the petition be paid out of the assets of HEC. (collectively referred to as “Court Order”) HEC has yet to receive the Court Order with regard to the Winding-Up Petition to date. The powers of the Board of Directors and Officers of HEC will cease upon the appointment of the liquidator. This announcement is dated 5 November 2012. � | |
