We refer to our earlier announcements dated 2 October 2012, 10 August 2012, 28 August 2012 and 30 August 2012 respectively. The Board of Directors of Seal Incorporated Berhad ("SEAL" or "the Company") wishes to announce that its subsidiary, Great Eastern Mills Berhad ("GEM") has on 15 October 2012 received a winding up petition presented on 10 October 2012 from the solicitors of Timber Employee Union, Peninsular Malaysia (“the Union”) claiming the sum of RM4,976,531.18 to be settled by GEM. On 20 January 2005, GEM had entered into a settlement agreement with the Union for the claim of RM4,989,877.98 being termination benefit, notice pay, pro-rated bonuses and payment in lieu of annual leave for 472 employees of GEM. GEM had received a letter of award dated 13 April 2006 from the Industrial Court. Settlement of the claim commenced upon re-commencement of logging operations of GEM and with the condition that GEM makes profits from the logging operations. As at 30 June 2008, total repayment amounting to RM13,346.80 has been made. On 20 August 2008, GEM had further entered into an agreement with the Union to allocate 2,000 acres of concession quota to the Union as full and final settlement of the claims against GEM. The solicitors of the Union have failed to disclose the Agreement dated 20 August 2008 to Industrial Court and an order of Non-Compliance lodged is unlawful. An injunction application filed by GEM to restrain the winding up petition by the Union has been dismissed by the Court on 1 October 2012. GEM shall appeal against the decision. GEM is 60% owned subsidiary of the Company.� As at to date, total cost of investment in GEM is RM6,759,250. The winding up petition will have financial or operational impact on SEAL Group to the extent of the cost of investment of RM6,759,250. This announcement is dated 15 October 2012 � |
