1. Introduction

    Pursuant to Paragraph 9.19(5) of the Bursa Malaysia Securities Berhad Main Market Listing Requirements, DRB-HICOM wishes to announce that PROTON Marketing Sdn Bhd ("PMSB"), a wholly-owned subsidiary company of PROTON Holdings Berhad (“PROTON”) had on 8 October 2012 completed the acquisition of HICOM Holdings Berhad (“HHB”)’s entire 90% equity interest in HICOM-Potenza Sports Cars Sdn Bhd (“HPSC”) comprising 4,500,000 ordinary shares of RM1.00 for a total cash consideration of RM4,500,000 (“Internal Reorganisation”).
      PROTON is a wholly owned subsidiary company of DRB-HICOM.

2. Rationale for the Internal Reorganisation

The Internal Reorganisation is part of the Group’s intention to streamline and realign its businesses to achieve greater operational efficiency.


3. Effects of the Internal Reorganisation
      The Internal Reorganisation will not have any effect on the Company’s issued and paid-up share capital and substantial shareholders’ shareholdings. There will be no material effect on the group’s earnings per share, gearing and net assets per share.


4. Approvals Required
      The Internal Reorganisation does not require approval from the shareholders of DRB-HICOM or any other relevant authorities.


5. Interest of Directors, Substantial Shareholders and Persons Connected
      None of the Directors, major shareholders and/or persons connected with them has any interest, direct or indirect, in the Internal Reorganisation.
