Description	INS BIOSCIENCE BERHAD (“INSBIO” OR THE “COMPANY”) PROPOSED DISPOSAL TO WESTONE INDUSTRIES (M) SDN BHD (“WISB” OR THE “PURCHASER”) OF A FOUR (4) STOREY SHOP OFFICE OWNED BY HLS INTERNATIONAL SDN BHD (FORMERLY KNOWN AS EASY PHA-MAX MARKETING SDN BHD AND INS ENTERPRISE SDN BHD) (“HLS” OR THE “VENDOR”), A WHOLLY-OWNED SUBSIDIARY OF INSBIO, FOR A CASH CONSIDERATION OF RM5,800,000 (“PROPOSED DISPOSAL”)
Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the announcement dated 12 October 2012. We refer to the Company’s earlier announcement dated 12 October 2012 in relation to the Proposed Disposal (“Announcement”). On behalf of the Board of INSBIO, we wish to clarify on the following, in relation to the respective sections in the Announcement: 2.1������ Description of Property The Property is currently being self-occupied by HLS on the ground floor and first floor of the Property (which translates to 46% or 539 square metre of the total gross floor area of the Property). �The remaining 54% or 634 square metre of the remaining gross floor area of the Property is currently vacant. 2.4������ Utilisation of proceeds The repayment of the Facility of the amount of RM3.50 million is estimated based on the amount outstanding of RM3.41 million as at 30 September 2012 and the interest to be accrued under the Facility up to 31 March 2013 of RM0.09 million, assuming that the Proposed Disposal is completed on 31 March 2013. If the actual amount payable for the Facility is lower or higher than the amount estimated, the excess or deficit will be utilised for/funded from the proceeds allocation under the working capital requirements of the Company.
