Further to our announcement dated 3 September�2012 and�6 September 2012 in relation to the Proposed Joint Venture.
We�are pleased to clarify�that the shareholding information of
Perak Hydro Renewable Energy Corporation Sdn Bhd (“PHREC”) as appeared on our announcement dated 3 September 2012 should read as follow:-

2.2����������� Information on PHREC

PHREC was incorporated in Malaysia on 14 July 2010 under the Companies Act 1965, as a private company limited by shares. As at 3 September 2012, the authorised share capital of PHREC is RM1,000,000 divided into 1,000,000 ordinary shares of par value RM1.00 each. As at 3 September 2012, the issued and paid-up capital of PHREC is RM300,000 comprising of 300,000 ordinary shares of par value RM1.00 each. PHREC has been mandated by the State Government of Perak to act as the master developer and overall coordinator for the development of small renewable energy hydro projects in the State of Perak.

The shareholding structure of PHREC is as follows :-

We refer to Bursa Malaysia Berhad letter dated 21.9.2012 in respect of the above matter.

The Company’s reply to the aforesaid letter is as follows:-

  1. A summary of the indemnity clauses which would enable the purchaser to claim for the sum of RM9.0million.

The Letter of indemnity and Undertaking (“LI”) was given on 24.6.2011 in compliance to the SSA dated 18.2.2011.

The LI was given with regards to 3 outstanding matters  relating to Arani Agro Oils Industries Limited ( “AAO”) in Andra Pradesh India and they are as follows:-

1. To obtain consent order for operation (expansion) from Andra Pradesh Pollution Control Board.

2. To obtain notification and consent from Reserve Bank of India with regard to foreign inward remittances if applicable

3. Submission of balance sheet (Form 23 AC) and profit and loss accounts (Form 23 ACA) for year 2011 (March 31 2011) to ROC Andra Pradesh.

The purport and the ambit of the LI given in relation to the above is to indemnify the Purchaser, from and against all actions proceedings losses incurred , claims charges fines penalties compounds or expenses which may be brought against Agro Asia Pacific Limited ( “AAPL”)  and or the Purchaser, in connection or in relation to the above 3 items.

  1. The name of the 1st Defendant, details of the Court proceedings and the Company`s outstanding obligations stated in the announcement.

The name of the 1st Defendant- Malaysian Trustees Berhad (“MTB”)

Details of Court Proceedings are as follows:

The Company filed an Originating Summons No 24NCC-220-06-2012 on 27.6.2012 for the following relieve:-

a) A declaration that any claims under the custodian agreement by AAPL and or its nominee should be supported by certified copies of the prove of payment or compounding notification as stated in clause 3.2 of the custodian agreement dated 7.7.2011.

b) A declaration that the 1st Defendant shall be restrained from releasing any monies from the sum of RM 9 million held under the custodian agreement to AAPL and or its nominee if no payment of penalties compounds and or any other claim whatsoever has been made or incurred by AAPL as stated in the letter of indemnity dated 24.6.2011.

c) An interim injunction restraining the 1st Defendant from releasing the deposit sum of RM 9 million to AAPL pending the hearing of the originating summons.

On 27.6.2012 an interim injunction was granted after an inter partes hearing by the High Court of Kuala Lumpur.

On 16.7.2012 AAPL and Premium Nutrients Private Limited (“PNPL”) was allowed in the above suit and be named as the 2nd and 3rd Defendant respectively.

The 2nd and 3rd Defendant is claiming for the following reliefs:-

a) A declaration that the plaintiff has breached item 1 &2 of the LI as stated above.

b) A declaration that 2nd and 3rd defendant are entitled in law to have the deposit sum released to them pursuant to the LI.

c) An order that 1st defendant release the deposit sum with interest to the 2nd and 3rd defendant.

d) A declaration that the 2nd and 3rd defendant are also entitled to call on clause 4(b) of the LI for a top up sum if the actual penalties exceed the deposit sum.

e) That the plaintiff deposit with 7 days from a court order a top up sum of RM 54,443,651.00 in an escrow account for and or to the order of the 2nd and /or 3rd defendant pursuant to clause 4.b of LI.

Parties have exhausted all affidavits and matter is fixed for hearing on 16.10.2012.

Status of Outstanding matters under the LI

Item 1, 2 and 3 as stated above have been fulfilled.

  1. The reasons / circumstances leading to the filing of an affidavit in reply for the Vendor / Plaintiff to deposit a top up sum of RM54,443,651.00

Without being prejudicial to our case, we can find no valid reasons for the 2nd and 3rd Defendant’s claim for a top up sum of RM54, 43,651.00 to be placed into an escrow account.

No circumstances that has arisen under the LI permitting for such a claim.

  1. The financial and operational impact arising from the material litigation.

As advised by our solicitors and without being prejudicial to our case we are confident that there shall not be any financial and operational impact arising from the material litigation.

  1. The expected losses, if any arising from the material litigation.

We do not foresee any losses arising from the material litigation.
