Contents: The Board of Directors of the Company wishes to announce that on 11 June 2010 ("Approval Date"), the Company had at the Annual General Meeting, obtained the shareholders' mandate for the Company and/or its subsidiaries to enter into renewal and new mandate for the RRPTs of a revenue or trading nature, which are necessary for WSC Group's day-to-day operations and are in the ordinary course of business and on terms that are not more favourable to the Related Party than those generally available to the public ("Mandate").
Pursuant to Paragraph 10.09(2)(e) and Paragraph 2.5 of Practice Note 12 of the Bursa Malaysia Securities Berhad ("Bursa Securities") Main Market Listing Requirements, the listed issuer should immediately announce to the Bursa Securities when the actual value of RRPT entered into by the listed issuer, exceeds the estimated value of the RRPT disclosed in the Circular To Shareholders by 10% or more.
Based on the actual value of the RRPTs transacted, from the Approval Date up to the date of the announcement, the difference (in value and percentage) for the RRPTs entered into with the Mandated Related Parties, namely Wasco Engineering & Technology (Nantong) Co. Ltd. and Wah Seong China Limited, increased substantially from the estimated/forecasted value due to the higher level of procurement activity in tandem with the increased in the orders secured by Wasco Engineering & Technology (Nantong) Co. Ltd.
