Contents: We refer to our announcement dated 23 December 2008 on the Share Sale Agreement dated 22 December 2008 ("SSA") between RT, RTC and Quantum.
Following the default of payment of the purchase consideration by Quantum and pursuant to Rule 9.04(g) of the ACE Market Listing Requirements, the Board of Directors of RIB ("Board") wishes to announce that RT and RTC had on 30 August 2010, lodged a Notice of Dispute to the Singapore International Arbitration Centre.
RT and RTC are claiming for the following reliefs:
(a) sum of USD1,080,993 which is due under the third and fourth tranches of the purchase consideration;
(b) an inquiry and assessment of REDtone Telecommunications Pakistan (Pvt) Ltd's account receivables collected and payable to RT and RTC pursuant to the SSA and payment by Quantum to RT and RTC of such sums found to be payable;
(c) interest on all sums found to be payable to RT and RTC at the rate of 8% per annum from 21 June 2009 until the date of full settlement of the same; and
(d) damages and cost of arbitration.
The Board is also of the opinion that the above arbitration will have no material effect on the consolidated net tangible assets and earnings of RIB and its subsidiaries for the financial year ending 31 May 2011.
