Contents: The Board of Directors of UMLand (Board) is pleased to announce that its indirect wholly owned subsidiary, Ipjora Holdings Sdn Bhd, had on 23 August 2010 entered into a sale and purchase agreement (SPA) with Muncul Warisan Sdn Bhd for the sale of a piece of fixed asset freehold commercial land approved for hotel development held under title HS(D) No. 97972 PT No. 46, Seksyen 57, Bandar Kuala Lumpur, Daerah Kuala Lumpur, Negeri Wilayah Persekutuan of approximately 1,566 square metres (Land) for a cash consideration of RM25.0 million.
The purchaser has agreed to purchase the Land on an "as-is-where-is" basis and the SPA is not subject to any conditions precedent. The sale consideration was arrived at on a "willing buyer, willing seller" basis and is to be settled as per table below.
The Company has held the Land for investment purposes and recently received an unsolicited offer from Muncul Warisan Sdn Bhd to purchase the Land. The Board, having considered the terms and conditions of the offer, decided to divest the Land.
None of the directors or major shareholders and/or person(s) connected to them has any interest, direct or indirect, in the Proposed Disposal.
